Acceptance of Terms

These terms govern the Services supplied by Promptective Pty Ltd, ABN 72701752936, to organisations and individuals. You accept them when you expressly agree during account registration or checkout. If you act for an organisation, you must have authority to bind it. A separately signed agreement governs to the extent it conflicts with these terms, subject to rights that applicable law protects.

We will notify you of material changes before they take effect and obtain fresh consent where required by law. Changes do not retrospectively remove accrued rights. You may cancel renewal before a change takes effect, and any statutory cancellation or refund rights remain available.

Use Licence

Subject to these terms and your purchased package, we grant you a limited, non-exclusive, non-transferable licence to use the Services for your own personal or internal business purposes. The following restrictions apply only to the extent permitted by applicable law:

• You may not modify or copy our software except as expressly permitted
• You may not use the service for any unlawful purpose
• You may not attempt to reverse engineer any part of our service
• You may not transfer your licence to another party

Service Description

Promptective provides AI security policy, inspection and enforcement across the supported workflows included in your package. Coverage depends on the application, platform, configuration and deployment. Security software cannot identify every threat or guarantee that a breach will never occur. Using the Services does not by itself establish compliance with any law, regulation or standard. These limits do not reduce our obligation to supply the Services as described or any guarantees required by law.

We may maintain or update the Services and will give reasonable notice of material changes where practicable. If a change materially reduces a paid service, applicable contractual and statutory remedies remain available. Any separately agreed service levels continue to apply.

The browser monitoring service records supported AI destination activity and, when the organisation enables capture, the latest submitted user text from supported requests. Drafts, earlier conversation turns, attachments and AI responses are excluded. Authorised portal users need a separate history permission to read retained text. Organisation administrators control collection, exclusions and retention; the extension has no individual pause or recording opt-out switch. Capture scope, access, retention and deletion are described in the Privacy Policy. Prompt history is separate from activity metadata and does not itself grant Promptective support access or permission to use the content for model training. Content-bearing support diagnostics require separate authorisation.

User Responsibilities

You are responsible for your account security and lawful use of the Services.

Before deploying the Services for an organisation, you must identify the lawful purposes and authority for monitoring, recording and access, give required notices to affected people, and complete any assessments, consultations or agreements required by applicable law. Use AI-usage records and saved history only for those lawful purposes. An administrator's agreement to these terms does not substitute for any required worker notice, consent or other legal basis, and does not waive the rights of workers or other affected people. These responsibilities do not remove Promptective's own legal obligations.

• Maintaining the confidentiality of your API keys and account credentials
• Ensuring your use complies with applicable laws
• Not using the service to process data you don't have rights to process

Intellectual Property

All intellectual property rights in the service, including software, documentation, and trademarks, remain with Promptective or our licensors.

You retain all rights to your data. We claim no ownership over the LLM traffic data you process through our service.

Limitation of Liability

Nothing in these terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law, New Zealand Consumer Guarantees Act 1993, UK Consumer Rights Act 2015 and applicable Canadian and United States consumer laws. These protections may also apply to qualifying business purchases. Subject to these protections and only where lawful, Promptective is not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities. Liability limitations in a separately signed agreement apply only where lawful. We do not exclude liability for fraud or any other liability that applicable law prohibits us from excluding.

Termination

You may cancel subscription renewal through Billing using Manage or cancel subscription. We may suspend or terminate access where reasonably necessary to address a material breach, an immediate security risk or a legal obligation. Where practicable, we will give notice and an opportunity to resolve the issue. Suspension or termination does not remove any statutory refund, cancellation or other remedy.

Subscriptions, renewal and cancellation

Checkout shows the package, endpoint quantity, currency, total charge including applicable tax and billing interval before payment. Monthly and annual subscriptions renew automatically at the disclosed recurring price until cancelled. You authorise recurring charges only when you expressly agree at checkout. A free signup trial does not automatically become a paid subscription; payment requires a separate checkout.

Cancel renewal before your next renewal date through Billing using Manage or cancel subscription. Ordinary renewal cancellation takes effect at the end of the paid billing period and stops future renewal charges. Statutory cancellation rights can require a different effective date or a refund. We will provide price-change and renewal notices and obtain further consent where applicable law requires them.

Refunds and consumer cancellation rights

You retain all mandatory consumer guarantees and remedies. Depending on applicable law and the circumstances, these can include repair, replacement, repeat performance, a price reduction, cancellation or a refund. A refund request form or our review process does not make a statutory entitlement discretionary, require you to provide optional feedback, or limit the period in which a legal claim can be made.

UK consumers generally have a 14-day cancellation period for distance contracts, subject to the rules for the particular service or digital content supplied. Agreeing to these terms or recurring billing does not itself waive that right. Any request to start a service early, or consent and acknowledgement needed for early digital supply, must be collected separately where required. Contact hello@promptective.ai to exercise a cancellation right. Other local cancellation and refund rights continue to apply.
